Terms of Service

These Terms of Service govern your access to and use of Caliq, including the iPhone and iPad app, related services, and this website. By downloading, installing, or using Caliq, you agree to these Terms. If you do not agree, you must not use the service.

1. Agreement to Terms

By creating an account, subscribing, downloading the app, or otherwise using Caliq, you confirm that you have read and understood these Terms and that you agree to comply with them. If you use Caliq on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility

You must be at least 13 years old to use Caliq. If you are under the age of majority in your jurisdiction, you may use the service only with the consent of a parent or legal guardian.

3. License to Use Caliq

Subject to these Terms, Caliq grants you a limited, non-exclusive, non-transferable, revocable license to use the app and website for your personal or internal business scheduling needs.

You may not:

• Copy, sell, sublicense, rent, lease, or distribute Caliq except as permitted by law.
• Reverse engineer, decompile, disassemble, or attempt to discover the source code, models, or underlying logic of the service, except to the extent such restriction is prohibited by law.
• Use Caliq to violate any law, infringe the rights of others, or transmit harmful, abusive, fraudulent, or unlawful content.
• Attempt to interfere with the security, integrity, or normal operation of the app, APIs, or website.

4. Plans, Subscriptions, and Billing

Caliq may offer Free, Personal, and Professional tiers, each with different features and usage limits. Paid plans are billed through the device platform's in-app purchase system unless otherwise stated.

When you purchase a subscription:

• Payment is charged to your platform account at confirmation of purchase.
• Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current billing period.
• Your account will be charged for renewal within 24 hours before the end of the current period at the price shown at the time of purchase or renewal.
• You can manage or cancel subscriptions through your platform account settings.

5. Free Trials

If Caliq offers a free trial, the trial lasts only for the period stated at sign-up. Unless you cancel before the trial ends, the trial will convert into a paid subscription and you will be charged according to the plan you selected. Free trials may be limited by account, device, region, or prior usage.

6. Refunds

Payments made through the platform app marketplace are governed by that marketplace's billing and refund policies. Caliq cannot issue direct refunds for marketplace purchases. If you believe you are entitled to a refund, you must request it through the applicable marketplace support process.

7. Price Changes

Caliq may change plan pricing, packaging, or feature availability from time to time. Any price change for an existing subscription will be communicated by the relevant platform operator and will take effect in accordance with that platform's subscription rules and applicable law.

8. Apple App Store Terms

If you download Caliq from the Apple App Store, you acknowledge that these Terms are between you and Caliq, not Apple. Apple has no obligation to provide maintenance or support for the app beyond any obligations imposed by law. The app is licensed, not sold, to you, and your use is also subject to the Apple Media Services Terms and Conditions and applicable Apple usage rules. Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to your license to use the app and may enforce those terms against you.

9. User Conduct and Acceptable Use

You are responsible for all content you submit to Caliq, including scheduling text, imported notes, calendar data, and support requests. You agree not to use the service to:

• Upload or process content that is unlawful, defamatory, harassing, abusive, or infringing.
• Attempt to gain unauthorized access to accounts, systems, or data.
• Use automated means to scrape, overload, or misuse the service.
• Misrepresent your identity or use the service in a way that could harm Caliq or other users.

10. Intellectual Property

Caliq, including its software, design, branding, text, graphics, interfaces, and documentation, is owned by Tridib Banerjee or licensed to Caliq and is protected by copyright, trademark, and other intellectual property laws. These Terms do not transfer any ownership rights to you.

11. Third-Party and Platform Services

Caliq interoperates with device-platform services and other third-party services. Your use of those services may also be subject to their own terms, privacy policies, technical limits, and attribution requirements.

• Weather and alert data services: Weather forecasts, current conditions, and alerts shown in Caliq may be supplied by third-party weather data services. Where a provider requires attribution, Caliq displays the applicable marks, legal links, and source information. You must not remove, obscure, or interfere with those notices. Weather data and alerts may change, be delayed, or be unavailable, and must not be relied on as the sole source for safety-critical decisions.
• Mapping and place-search services: Location search, place suggestions, maps, and handoff to external map applications may use third-party mapping services. Provider logos, legal notices, hyperlinks, and map attributions that appear with those features are part of the service and must remain intact. Map, place, and address results may vary from real-world conditions.
• Device calendar and reminder frameworks: Caliq accesses calendars and reminders only with the permissions you grant. The terms governing any underlying calendar or reminder account remain between you and the relevant provider.
• Account-based sync services: If you enable sync, your data may be stored and synchronized through your device account and related cloud infrastructure, subject to your account settings and the relevant provider's terms.
• Platform billing services: Subscription purchase, renewal, restoration, billing, and refund workflows are handled through platform systems and remain subject to the relevant platform's rules and policies.
• Other service providers: Optional server-side features may also rely on security, networking, hosting, caching, anti-abuse, or model-processing subprocessors.

Platform operators or other providers may change, suspend, or limit these services at any time. Caliq is not responsible for outages, regional unavailability, or feature changes made by those providers.

12. Privacy

Your use of Caliq is also governed by the Privacy Policy, which explains how data is processed, stored, and protected. If there is a conflict between these Terms and the Privacy Policy on a pure privacy issue, the Privacy Policy controls for that issue.

13. Disclaimers

Caliq is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Caliq disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation. Caliq does not guarantee that parsing results, event suggestions, weather information, map or place data, imports, or calendar synchronization will always be complete, accurate, timely, or available.

Features that rely on third-party weather data, mapping services, account-based sync, or other third-party services depend on those services continuing to operate and on the accuracy of the data they provide. They are offered for convenience and informational purposes only.

14. Limitation of Liability

To the fullest extent permitted by law, Caliq and its operator will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost data, missed events, scheduling conflicts, business interruption, or goodwill loss arising from or related to your use of the service, even if advised of the possibility of such damages.

Where liability cannot be excluded, Caliq's aggregate liability will be limited to the amount you paid for the service during the 12 months preceding the event giving rise to the claim, or EUR 50, whichever is greater.

15. Indemnification

You agree to defend, indemnify, and hold harmless Caliq and its operator from and against claims, liabilities, damages, judgments, losses, and expenses arising out of your misuse of the service, your violation of these Terms, or your infringement of any third-party rights.

16. Suspension and Termination

Caliq may suspend or terminate your access immediately if you violate these Terms, misuse the service, or create risk or legal exposure for Caliq. Upon termination, the license granted to you under these Terms ends immediately, but provisions that by their nature should survive will remain in effect.

17. Changes to These Terms

Caliq may update these Terms from time to time. Material changes will be posted on this page and may also be communicated in-app or by other reasonable means. Your continued use of Caliq after the revised Terms become effective means you accept the updated Terms.

18. Governing Law and Disputes

These Terms are governed by the laws of Germany and applicable European Union law, without regard to conflict-of-law principles. If you are a consumer, mandatory consumer protection laws in your country of residence remain unaffected. Unless applicable law provides otherwise, the courts of Germany will have exclusive jurisdiction over disputes arising out of or relating to these Terms.

19. Severability and Waiver

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. A failure to enforce any provision is not a waiver of the right to do so later.

20. Entire Agreement

These Terms, together with the Privacy Policy and any plan-specific information displayed at the point of purchase, form the entire agreement between you and Caliq regarding your use of the service.
